PACKING: bulk in containers

QUANTITY: 10.000 to 25.000 MT every 30 to 60 days

PERIOD: 12 (twelve) months

PRICE : 62 USD/dmt FOB main port Brazil

DELIVERY: The mineral commodity will be delivered by INCOTERM FOB

(Free on Board).Unless otherwise agreed, i.e. CFR

QUALITY: Available content will have a Fe 50% / Fe2O3 69% basis.

FeO : +20%. Al 0,8% max Mn 0,4% max S 1,3% max and P 1,1% max

Moisture : 4%

PRICE: Base price of the Magnetite will be fixed during 2 (two) month period, after which the prices may be renegotiated upward or downward, depending on the market and exchange conditions.

PAYMENT : Parties agree that the payment will be made by TT with conditions established in contract.

INSPECTION: Parties mutually agree that SGS or an internationally recognized first class

independent surveyor company shall be appointed at loading teminal, to assess the quality and

quantity of the cargo according to the provisions herein stated.
