The procedures for the acquisition of 3M Brand Model 1860 N-95 Respirators are hereby summarized as follows:

1. NCNDA

2. Call with seller’s rep.

3. ICPO, LOI, AML, LOA, KYC and AML

4. Due diligence (DD) on submission documents initiated (twenty-four to forty-eight business hours).

5. Principal NCNDA sent via DocuSign for: Buyer, Buyer Mandate, Seller, and Seller Mandate.

6. ATV prepared and submitted to Seller Attorney with a copy to Buyer’s banker. Seller will provide: Attorney’s addressee details, code word and pin.

7. ATV verified by Seller Transactional Attorney; template will identity and verify buyers granted permission to Seller’s legal representation.

8. Redacted SGS, Sales Purchase & Escrow Agreements will be released to the Buyer’s Attorney following successful transaction funds proofing via Digify.com secure file transfer.

9. Fee Agreement is sent for execution via DocuSign. Completed copy filed with Escrow Attorney.

10. Once all Transaction Agreement terms have been satisfied, the Transaction Attorney will initiate the transfer of Title. Escrow will be released, and the Sales Purchase and Fee Agreements will be funded, concluding with the close of the Transaction.
