We, OOO “ONDATORG”, hereby state and represent that we are ready, willing and able to sell the undermentioned chemical product as per buyer’s specification and in the quantities as specified in the terms and conditions stated below. GUIDEMMODITIES: RUSSIAN D2, LOW SULR DIESEL AGO PREMIUM MOTOR SPIRIT [PMS] QUANTITY: 50,000MT X 12 MONTHS, OR AS MAY BE AGREED. TARGET PRICE: TO BE DETERMINED CONTRACT TERMS: 12 MONTHS CONTRACT [OR MORE], WITH ROLLS AND EXTENSIONS. LOADING PORT: NOVOROSSYSKY VLADIVOSTOK, ANY RUSSIAN PORT. DESTINATION PORT: ASWP. DELIVERY: CIF. COMMISSIONS: USD$5PMT EACH SIDE. PAYMENT TERMS: 1. ESCROW DEPOSIT OPTION [AGREED SUM USD1M EACH, TO BE DEPOSITED TO AN ESCROW ACCOUNT APPOINTED BY SELLER. SIMULTANEOUSLY, SELLER WILL DEPOSIT SAME AMOUNT. CONTRACT WILL BE WITHDRAWN; AFTER 3 WORKING DAYS, IF BUYER BANK FAILS TO MEET THIS TIME-ER MUST PAY A PENALTY CLAUSE OF 2% OF TOTAL COST AT THE EXPIRATION OF THE “3” [72 HOURS] BUSINESS DAYS, FOR ANY DELAY AND OR EXTENSION. 1 . INSPECTION AT LOADING PORT: QUALITY, QUANTITY WEIGHT BY SGS OR RUSSIAN INDEPENDENT SURVEYORS. COST TO BE BORNE BY SELLER. INSPECTION AT DISCHARGE PORT: SGS AND OR CIQ AT DISCHARGE OR DESTINATION PORT, ON BUYER’S EXPENSE. ATTENTION: SELLER IN CONSULTATION WITH BUYER WILL REVIEW PRICES OR DOWNWARDS, IF THERE IS SHARP INCREASE OR DECREASE IN PRICES QUARTERLY [+ -5%] PMT. ACCEPTABLE CONTRACT PROCEDURES: 1. Seller provides to buyer their Acceptable Transaction Procedure and Detailed Company Profile. 2. After Due Diligence, buyer issues ICPO or LOI [which must be in accordance with [THIS] Seller’s Acceptable Procedure already with buyer], with buyer’s official details, including Official Company Registration Certificate and Business Profile. 3. After Due Diligence, seller issues Draft Contract for Buyer’s signature, official stamp and Bank details, including the CI. 4. After receipt of the PDF signed copy of Draft Contract, seller issues the Escrow Draft Contract. 5. On receipt of the signed Escrow Draft Contract (in Word Format from Buyer), Escrow will sign the Draft Contract, put it into PDF Format and return it to Seller for dispatch to Buyer. 6. Buyer will (then) Deposit the Escrow Fund and send proof copy of the deposit to Seller. Buyer has a minimum of 3 working days to complete this payment deposit. Simultaneously, Seller will do the same (“AFTER” Confirmation of buyer’s deposit) and send proof copy to buyer. 7. Seller starts the pre-shipping process and ships the product to Buyer’s Destination Port. Buyer checks the product, conducts a test analysis and verifies all FPOP Documents presented to them. If OK, buyer simultaneously releases payment to seller by MT103 TT. The seller also within 72 hours of getting payment will pay all intermediaries, agents, facilitators and or brokers associated with the transaction. 8. Seller will pay all Commissions to Agents, Facilitators and brokers, in accordance with the signed Agreement in the IMFPA-NCNDA Document, within 72 hours, after receiving payment from buyer by MT103 TT. ATTENTION: THIS PROCEDURE IS NON NEGOTIABLE.
