Payment for the consignment of Goods supplied under this Agreement is provided by an Irrevocable Non-transferable Indivisible Documentary (DLC) issued by the Buyers for 100% of the cost of one cargo in a first-class bank and acceptable to the Seller, such acceptance cannot be unreasonably withheld by the Seller. The DLC will be valid for 395 days.Each shipment is paid 100% by or TT or MT103 at the port of loading delivery upon presentation of shipping documents within 2 (two) consecutive banking days after the following shipping documents are submitted to the Buyer's Bank:• Merchant Invoice (3 Original Kits)• SGS quality certificate from the Seller's facilities at the port of loading• SGS Certificate of the quantity from the Seller's funds at the port of loading• Certificate of origin SGS• Complete set of "Clean On Board" Marine Bill of Lading (Certificate of Weight, Quantity and Quality)• Download time sheet, 1 original and 1 copy signed by master, local agent and SGS.• Measurement report, 1 Original• Captain's certificate confirming receipt of sealed control (arbitration) samples;• Other documents may be available upon buyer's requestPROCEDURE1. After the Seller and the Buyer sign the Sale and Purchase Agreement, the rental agreement with the Seller's and Buyer's Bank, the Seller issues:- Proforma invoice-Quantity and quality report (SGS or similar agency, or refinery report) for lifting the capable quantity of product-Sellers permission to sell and Title copy- Receipt of storage of the tank.-Certificate of origin-Fuel injection report showing fuel pumping into the tank rented by the Seller- Notification of readiness to start Injection of the Product into the Buyer's Vessel2. The buyer issues irrevocable non-transferable documentary credit (DLC), located in accordance with the agreed verbiage, provides the passport of the person who will do the diving test, the ships document (q88 black), sends his ship to the port seller, indicates that the ship's master or transport company to publish ni eta for the seller and the master of the port under3. The seller issues a 2% (two percent of the face value of the DLC) Performance Bond (PB), which activates the DLC and authorization for deep testing.4. Upon arrival of the vessel at the port of loading, the Seller loads the Buyer's vessel. Buyer appoints an SGS Saybolt Independent Surveyor to conduct a Q&Q during the loading of Buyer's vessel, Seller grants DIVE permission. The SGS inspector conducts the Q&Q test and sends the Q&Q report to both the Buyer and the Seller.5. The Seller issues a Commercial Invoice based on the result of the Q&Q report, sends it to the Buyer by corporate e-mail and provides the COMPLETED SHIPPING DOCUMENTS (see Payment) to the Buyer BUYER's banks.6. THE BUYER'S BANK AFTER RECEIVING THE FILLED SHIPPING DOCUMENTS MAKES PAYMENT TO THE SELLER'S BANK WITHIN 2 (TWO) BANKING DAYS7. Seller immediately transfers ownership and transfers all export documents from bank to bank8. THE PARTIES have agreed on a DELIVERY SCHEDULE for the transaction.
