Bangladesh in favor of the principle, will be released after full receive at buyer industries at their factory site and quality testing of imported CDSO have been completed and found quality is okay. Pre-shipment Inspection: Pre-shipment inspection by a third party (to be selected by Buyer) on quality and quantity during loading at the port of loading is on seller’s account. Pre-shipment during before loading sical inspection by three members of SKS at the port of loading is on seller account (optional will be decided during business agreement signature) Inspection during delivery at Chattagram port by a third party is on buyer’s account> Monitoring: A team of officers of seller and buyer will be responsible for monitoring the shipment from the port of loading till receiving by the factory and report to DGM ( O, P &P) Business division of Buyer. Duties and Taxes : All taxes and duties at loading port up to Chattagram port, Bangladesh for the supply shall be on the seller’s account. All taxes and duties in Bangladesh and the discharge port for the shall be on the Buyer’s account. Shipment Documents: One set of non-negotiable shipping documents, bill of lading, commercial invoice, packing list, and certificates should be sent to the buyer and his shipment of goods through and DHL. Certifications: The following certificates must be provided: Certificate of quality and quantity issued by SOS at loading port according to an agreed specification. Certification of Origin tosanitary certificates Halal certificates Confidentiality: All parties in this agree to keep all contractual terms and conditions herein strictly confidential. Quality of Goods: Seller represents and warrants that the quality must be consistent and same as specification. In case of dispute on quality, the quality results of the BSTI laboratory shall be final. The buyer will claim for the direct and indirect losses caused due to quality issues. The losses will be adjusted from PG and or by the principal supplier. Quantity of Goods: The total quantity is: Metric Tons Only weight franchise of+5% shall be allowed against the Bill of Loading weight. No loss of weight (less than 13(b) will be accepted. Loss on weight will be adjusted from PG and or by the principal supplier. Performance Guarantee: Seller must submit performance guarantee equivalent to @5% of total contract value for MT*USD 00*2% USD in favor of Buyer in the form of unconditional Performance Guarantee (PG) Bank Guarantee(BG) or Payment Order (Pay Order)from any scheduled bank of Bangladesh or supplier bank. The said PG will be released after the completion of goods delivery and confirmation from the buyer. If the seller fails to deliver the goods as per contract at the Chattagram seaport (bonded tank terminal and or Buyer) PG will be forfeited. Liquidated Damage: In case, the supplier local agent fails to supply the goods as per contract without any reason because he they will be charged 0.5% per week of the total value in USD for the delay. Dispute Settlement: Any dispute between the parties to be settled amicably through consultation and negotiation between the parties. In the event all efforts fail to resolve the dispute, the matter will be referred to an arbitration body applicable as per the law of Bangladesh. Termination: The buyer shall terminate the said contract by ten (10) days notice to the seller in the event of the seller fails to follow the terms. Force Majeure: Internationally accepted FORCE MAJEURE clause shall be applicable for this agreement. Annexure: Specification of CDSO
